1. Scope
These Terms of Sale and Delivery apply to all offers, sales and deliveries from Ecoglide ApS, unless otherwise expressly agreed in writing between the parties. The terms cover both B2C (consumers) and B2B (business customers).
2. Offers and Order Confirmation
Written offers are valid for 30 days, unless stated otherwise. A contract is binding when Ecoglide ApS has issued an order confirmation. For webshop purchases (B2C), the contract is concluded when the order confirmation/dispatch notice is received; an automatic email receipt does not constitute final acceptance.
3. Prices
- Currency: All prices are stated in DKK and EUR.
- VAT: All prices are shown inclusive of VAT and duties (applies to both B2C and B2B; Danish businesses pay VAT and may seek refund in accordance with applicable rules).
- Dangerous goods (ADR) surcharge: Certain products are subject to a surcharge for the handling/transport of dangerous goods. The surcharge appears prior to payment at checkout together with the final freight.
- Price changes: Prices may be adjusted in the event of significant changes in raw materials, energy, wages, etc. up to the time of delivery (following prior notice).
4. Delivery
- Freight calculation: Freight cannot be fixed until the order details are known (half/full pallet, B2C/B2B, delivery address). The final freight price is provided for approval prior to payment.
- Carrier: Delivery is made via Dansk Fragtmand or an equivalent carrier to the stated address. No parcel shops.
- Delivery time: Stated together with the freight quotation; pallet/ADR consignments may have longer lead times.
- Passing of risk:
- B2C: Risk passes upon physical receipt by the consumer.
- B2B: Unless otherwise agreed, delivery is EXW Roslev (Incoterms® 2020); risk passes upon collection from Ecoglide’s warehouse.
5. Payment
- B2C: Payment by credit/debit card (Visa/Mastercard). The amount is captured upon dispatch.
- B2B: Payment as agreed. As a starting point prepayment/card payment applies; invoice credit may be agreed separately. In case of late payment, interest accrues in accordance with the Danish Interest Act (renteloven) and any applicable reminder fees.
6. Retention of Title
B2B: Ecoglide ApS retains title to the delivered goods until the full purchase price, including any interest/costs, has been paid.
7. Non‑conformity and Remedies
- B2C: Consumers have a 24‑month legal guarantee for manufacturing and material defects. A complaint within 2 months after the defect was discovered is always considered timely. The remedy (repair, replacement, price reduction or termination) will be determined based on a concrete assessment.
- B2B: The buyer must examine the goods upon receipt. Complaints regarding visible defects must be made immediately and no later than 8 days after receipt. In the event of a justified defect, Ecoglide will, at its option, provide repair or replacement.
8. Limitation of Liability
B2B: Ecoglide’s liability for defects/errors is limited to replacement or repair. Ecoglide is not liable for indirect or consequential losses, including loss of production, loss of profit, loss of time or similar. The total liability cannot exceed the invoice value of the relevant order.
9. Force Majeure
Ecoglide is not liable for non‑performance caused by circumstances beyond reasonable control, including - but not limited to - war, terrorism, civil unrest, natural disasters, fire, flooding, epidemics/pandemics, strike/lockout, supply failures, import/export restrictions or governmental orders. Delivery times are extended accordingly; each party may cancel purchases of undelivered goods after 30 days without liability.
10. Disputes
The contract is governed by Danish law. Disputes shall be sought settled amicably; failing settlement, the case may be brought before the District Court of Viborg (Retten i Viborg). (Consumers retain their mandatory rights under applicable consumer protection law.)
